By accessing or using any part of the Services, you agree to be bound by this Agreement. By accessing or using the Services, you represent and warrant that:
You have read, understood, and agree to be bound by this Agreement;
You are at least 18 years old or the age of majority in your jurisdiction;
You are not prohibited from using the Services by applicable law;
You will use the Services solely for lawful purposes;
If you are using the Services on behalf of an entity, you have the authority to bind that entity to this Agreement.
If you do not agree to these Terms, do not access or use the Services.
Use of the Services is also subject to our Privacy Policy, which outlines how we collect, store, and use personal data. If you do not agree with our Privacy Policy, do not use the Services.
Artificial Intelligence Disclaimer
The Services include experimental, probabilistic, and autonomous artificial intelligence systems. You understand and agree that:
The Services may generate outputs that are inaccurate, biased, inappropriate, offensive, or otherwise unreliable;
You must independently verify all outputs before relying on them for any decisions, whether personal, commercial, legal, financial, or otherwise;
We do not guarantee that outputs will be suitable for your intended use or that they comply with applicable laws or regulations;
You are solely responsible for the consequences of using any AI-generated content, including reliance on, publication of, or redistribution of such content.
Limited License and Access Rights
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes only. This license does not permit:
Reproduction, resale, or commercial use of the Services beyond your permitted access;
Use of the Services to develop or train competing AI systems;
Copying or scraping content or data from the Services using bots, crawlers, or automated tools;
Reverse engineering, decompiling, or attempting to extract the source code of our models or infrastructure;
Circumventing or violating technical, access, or security measures;
Using the Services to transmit malware, misinformation, or illegal content;
Using the Services in any way that may harm the Company or other users.
User Account and Security
You are responsible for safeguarding your account credentials and all activity under your account. You agree to notify us immediately of any unauthorised use of your account. We are not responsible for any losses arising from your failure to protect your account. We may suspend or terminate your access at any time without notice if we believe you are in breach of this Agreement or applicable law.
Paid Services, Subscription, and Billing
Some features of the Services may require payment. By subscribing, you agree to the applicable pricing, payment terms, and renewal policies. You are responsible for keeping your billing information current. We reserve the right to change our fees at any time with prior notice.
Refunds are at our sole discretion, except where required by law. If your payment fails or your account is past due, we may suspend or terminate your access to the Services.
Ownership and Intellectual Property
All rights, title, and interest in and to the Services, including but not limited to the software, algorithms, data, interfaces, design, trademarks, and content (except User Content), are and shall remain the exclusive property of HEBB LABS AI or its licensors. Nothing in this Agreement conveys to you any rights of ownership or license except as expressly provided.
You may not use our name, trademarks, logos, or proprietary visuals without our prior written permission.
User Content and Data Use
You retain ownership of your content, data, or inputs provided to the Services ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and process it to operate and improve the Services.
Outputs generated by the Services in response to your inputs may not be unique and may be used or generated for other users. We make no warranties about ownership, copyright, or commercial use of such outputs. You are solely responsible for any legal implications of using or publishing generated content.
Confidentiality and Feedback
You agree not to disclose any non-public information about the Services, including features in development, model behavior, or proprietary system design. If you submit feedback, ideas, or suggestions, we may use them without any obligation to compensate you.
Indemnity
You agree to indemnify, defend, and hold harmless HEBB LABS AI, its affiliates, directors, employees, and agents from and against all claims, damages, losses, liabilities, and expenses arising from:
Your use or misuse of the Services;
Your violation of this Agreement or applicable law;
Your violation of any third-party rights, including intellectual property or privacy rights.
Limitation of Liability
To the fullest extent permitted by law, HEBB LABS AI and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, loss of data, or business interruption, arising from your use of or inability to use the Services.
In no event shall our total liability exceed the greater of (a) the amount paid by you for the Services in the six months prior to the event giving rise to the claim, or (b) AUD $100.
Termination
We may suspend or terminate your access to the Services at any time, for any reason, including violation of these Terms or applicable law. Upon termination, your license to use the Services will end and your data may be deleted.
Governing Law and Dispute Resolution
This Agreement is governed by the laws of New South Wales, Australia, without regard to its conflict of laws rules. You agree to submit to the exclusive jurisdiction of the courts located in New South Wales. Any dispute arising under this Agreement shall first be resolved through confidential mediation before resorting to litigation.
Changes to the Terms
We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you via the Services or by other means. Continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.
